3. Description of Services

3.1. Cinemate™ is a cloud-based software-as-a-service (SaaS) platform designed for professionals in the film, television, digital, microdrama, OTT, and media production industry.

3.2. The Platform includes AI-powered features (including but not limited to CineDraft) that utilise artificial intelligence and machine learning models to assist Users with screenwriting, script analysis, and other creative and production tasks. AI-generated outputs are provided on an “as-is” basis and are intended solely as assistive suggestions. The Company makes no representation or warranty regarding the accuracy, originality, or fitness for purpose of any AI-generated output. All AI-generated outputs belong exclusively to the User, as further described in Section 5.6.

3.3. The AI-powered features of the Platform may utilise Third-Party AI Services, including large language models (LLMs) provided by third-party vendors. The use of such Third-Party AI Services is subject to the respective terms, conditions, licences, and usage policies of each third-party provider. The Company does not control and is not responsible for the terms, output quality, availability, or legal compliance of Third-Party AI Services. The Company shall not be liable for any claim arising from the User’s reliance on outputs generated through Third-Party AI Services.

3.4. The Company reserves the right to modify, update, discontinue, or introduce new features, modules, or services at any time, with or without prior notice, subject to applicable law.

4. Subscription Plans and Billing

4.1. The Platform offers the following subscription tiers: Free and Essentials, together with the optional add-ons available on Essentials (Intelligent AI, Advanced AI and Collaboration). The features, limitations, storage allocations, and pricing applicable to each tier are as described on the Pricing page of the Platform and may be updated from time to time.

4.2. The Essentials plan with the Intelligent AI and Collaboration add-ons includes a three (3) day free trial period, available once per Account. Upon expiration of the trial period, the User shall be automatically charged the applicable subscription fee unless the User cancels prior to the expiration of the trial period.

4.3. Subscription fees are billed on a monthly or annual basis, as selected by the User at the time of purchase. Annual subscriptions are billed as a single lump-sum payment at the commencement of the billing cycle.

4.4. All payments are processed through Razorpay or such other payment gateway as the Company may designate from time to time. The User agrees to comply with the terms and conditions of the applicable payment gateway.

4.5. Prices are displayed in Indian Rupees (INR) by default. Users located outside India may see prices displayed in United States Dollars (USD) or other currencies based on IP-based geolocation detection. The final charged amount shall be determined by the payment gateway based on the applicable currency and exchange rate at the time of transaction.

4.6. For Users in India, all applicable taxes, including Goods and Services Tax (GST) at the prevailing rate (currently 18%), shall be charged in addition to the subscription fee. International Users shall be responsible for any applicable local taxes, duties, or levies imposed by their jurisdiction.

4.7. The Company reserves the right to modify pricing at any time. Any price changes shall take effect at the commencement of the next billing cycle following notice to the User. Continued use of the Platform after such notice shall constitute acceptance of the revised pricing.

5. User Content, Ownership, and Intellectual Property

Your Content belongs to you. The following provisions are designed to protect your ownership of everything you create, upload, or generate on the Platform.

5.1. The User retains all ownership rights, title, and interest in and to all User Content uploaded, created, generated, or stored on the Platform. The Company does not claim any ownership interest whatsoever in User Content. This ownership is unconditional and is not affected by the User’s subscription tier, payment status, or Account standing.

5.2. By uploading or submitting User Content to the Platform, the User grants the Company a limited, non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, and display such User Content solely for the purpose of providing the Services to the User. The User may revoke this licence at any time by deleting the relevant User Content or terminating their Account. Upon such deletion or termination, the Company shall cease all use of the affected User Content, subject to reasonable backup retention periods not exceeding ninety (90) days.

5.3. The User represents and warrants that: (a) the User owns or has obtained all necessary rights, licences, and permissions to upload and use the User Content on the Platform; (b) the User Content does not infringe, misappropriate, or violate the intellectual property rights, privacy rights, or any other rights of any third party; and (c) the User Content does not contain any material that is unlawful, defamatory, obscene, or otherwise objectionable.

5.4. All Company Intellectual Property in and to the Platform, including but not limited to the Cinemate™ trademark, the CineDraft brand, all Cine-branded module names, the source code, algorithms, user interface designs, documentation, and all derivative works thereof, is and shall remain the exclusive property of the Company. Nothing in these Terms grants the User any right, title, or interest in the Company’s Intellectual Property, except for the limited licence to use the Platform as expressly provided herein.

5.5. The User shall not, and shall not permit any third party to: (a) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform; (b) modify, adapt, translate, or create derivative works of the Platform itself; (c) remove, alter, or obscure any proprietary notices, labels, or marks on the Platform; or (d) sublicence, sell, lease, or otherwise transfer access to the Platform to any third party.

5.6. All output, suggestions, creative ideas, text, brainstorming results, dialogue, storylines, character descriptions, script analyses, and any other content generated by the AI-powered features of the Platform (including but not limited to CineDraft) in response to the User’s prompts, inputs, or instructions (collectively, “AI-Generated Outputs”) shall be deemed the exclusive intellectual property of the User upon generation. The Company hereby irrevocably disclaims and shall not assert any ownership, copyright, moral right, or other intellectual property claim over AI-Generated Outputs. The User may use, modify, publish, licence, and commercialise AI-Generated Outputs as the User sees fit.

5.7. The Company shall not use User Content (including AI-Generated Outputs) to train, fine-tune, or improve any artificial intelligence model, machine learning algorithm, or any other automated system, whether owned by the Company or by any third party. User Content is processed through AI features solely for the purpose of providing the requested functionality to the User in real time, and is not retained, aggregated, or repurposed for model training.

6. Acceptable Use Policy

6.1. The User agrees not to use the Platform for any purpose that is unlawful, harmful, or prohibited by these Terms. Without limitation, the User shall not:

  • Upload or transmit any User Content that is infringing, defamatory, obscene, threatening, abusive, or otherwise objectionable.
  • Attempt to gain unauthorised access to any portion of the Platform, any server, system, or network connected to the Platform, or any other user’s Account.
  • Introduce any virus, worm, trojan horse, ransomware, or other malicious code into the Platform.
  • Use any automated means, including bots, scrapers, or crawlers, to access or interact with the Platform, except as expressly permitted in writing by the Company.
  • Circumvent, disable, or otherwise interfere with any security, rate-limiting, or access-control features of the Platform.
  • Use the AI features of the Platform to generate content that infringes third-party intellectual property rights or violates applicable law.
  • Use the Platform in any manner that could damage, disable, overburden, or impair the Platform or interfere with any other party’s use of the Platform.

7. Data Protection and Privacy

7.1. The collection, use, storage, and processing of personal data by the Company is governed by the Privacy Policy, which is available at www.cinemate.tech/privacy-policy and is incorporated herein by reference.

7.2. By using the Platform, the User acknowledges and agrees to the collection and processing of personal data as described in the Privacy Policy, on the legal bases set forth therein, and in accordance with applicable data protection legislation.

8. Third-Party Services and Integrations

8.1. The Platform may integrate with or contain links to third-party services, websites, or applications (including but not limited to payment gateways, AI model providers, cloud storage providers, and analytics tools). The Company is not responsible for the content, privacy practices, availability, or policies of any third-party service.

8.2. The User’s use of any third-party service is at the User’s own risk and is subject to the terms and conditions of such third-party service.

9. Service Availability and Uptime

9.1. The Company shall use commercially reasonable efforts to maintain the availability of the Platform and to minimise downtime. However, the Company does not guarantee uninterrupted, continuous, or error-free access to the Platform.

9.2. The Platform may be temporarily unavailable due to:

  • Scheduled maintenance, updates, or upgrades.
  • Unscheduled maintenance required to address critical security vulnerabilities, system failures, or emergency issues.
  • Force majeure events, including but not limited to natural disasters, acts of God, war, terrorism, pandemics, government actions, power failures, telecommunications failures, or Internet service disruptions.
  • Third-party service outages, including outages of cloud hosting providers, payment gateways, AI model providers, or other third-party infrastructure upon which the Platform depends.

9.3. The Company shall not be liable for any loss, damage, or inconvenience arising from any period of unavailability of the Platform.

9.4. The Company reserves the right to modify, update, enhance, or discontinue any feature, module, or component of the Platform at any time, with or without prior notice. No modification to the Platform shall alter, diminish, or transfer the User’s ownership of their User Content or AI-Generated Outputs.

10. No Exchange and No Return Policy

10.1. The Platform provides digital services delivered electronically over the Internet. There is no physical product, no physical shipment, and no tangible goods associated with any Subscription or service offered by the Company. Accordingly, there is no concept of “exchange,” “return,” or “shipping” applicable to the Services.

10.2. All Subscriptions and payments are final and non-exchangeable. If the User wishes to change their Subscription tier, the User may upgrade or downgrade their plan in accordance with the terms set forth in the Cancellation and Refund Policy.

10.3. No refunds shall be issued under any circumstances, except as expressly described in the Cancellation and Refund Policy. The User’s remedies shall be limited to the refunds and Account Credit set forth therein.

11. Disclaimers and Limitation of Liability

11.1. The Platform and all Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

11.2. The Company does not warrant that: (a) the Platform will be uninterrupted, secure, or error-free; (b) any defects will be corrected; or (c) the results obtained from the use of the Platform (including AI-generated outputs) will be accurate, reliable, or fit for any particular purpose.

11.3. To the maximum extent permitted by applicable law, in no event shall the Company, its directors, officers, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with the use of or inability to use the Platform.

11.4. The Company’s sole and exclusive liability, and the User’s sole and exclusive remedy, for any claim arising out of or in connection with these Terms or the use of the Platform shall be limited to the issuance of a pro-rata account credit for the unused portion of the User’s current billing cycle, as further described in the Cancellation and Refund Policy.

12. Indemnification

12.1. The User agrees to indemnify, defend, and hold harmless the Company, its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, demands, actions, liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) the User’s use of or access to the Platform; (b) the User’s violation of these Terms; (c) the User’s violation of any applicable law, rule, or regulation; or (d) any third-party claim that the User’s User Content infringes or violates the rights of any third party.

13. Termination

13.1. The User may terminate their Account at any time by contacting the Company at support@cinemate.tech or through the Account settings on the Platform.

13.2. The Company reserves the right to suspend or terminate the User’s Account and access to the Platform, in whole or in part, at any time and for any reason, including but not limited to: (a) violation of these Terms; (b) violation of applicable law; (c) conduct that the Company reasonably believes is harmful to other Users, third parties, or the Company; (d) extended periods of inactivity; or (e) a requirement to comply with an order or request from a governmental authority or court of competent jurisdiction.

13.3. Upon termination: (a) the User’s Account shall be placed in a suspended, read-only state for a period of thirty (30) days, during which time the User may export their User Content; (b) upon expiry of the thirty (30) day suspension period, the Account and all associated User Content shall be permanently deleted from the Company’s servers; (c) the User may request immediate deletion by sending a written request to support@cinemate.tech; and (d) the User’s ownership of their User Content and AI-Generated Outputs is not affected — the User retains all intellectual property rights regardless of Account status.

13.4. The Company strongly recommends that Users export all User Content prior to Account termination or cancellation. The Company shall not be liable for any loss of User Content that occurs because the User failed to export their Content within the thirty (30) day suspension period.

13.5. A User may delete their Account from Settings > Account. Where the User owns projects shared with other people, the User must first transfer them to a member or choose to delete them. Following a deletion request the Account is deactivated immediately, and a backup of the Account and its content is held for twenty-eight (28) days, after which it is permanently deleted and the Account record is anonymised. If the User signs in, or signs up again with the same email address, within twenty-eight (28) days of the request, the User will be shown a prompt (right after sign-up and profile confirmation) asking whether to restore the previous data or start fresh; nothing is restored without the User’s confirmation, and starting fresh permanently deletes the old data, including projects the User owns that are shared with others. This Clause 13.5 applies to Account deletion carried out through the Platform settings, notwithstanding the suspension arrangement described in Clause 13.3.

13.6. A User may download their data (their profile and the projects they own) from Settings > Account before deleting their Account.

13.6A. A User may also request deletion of their data by emailing support@cinemate.tech from their registered email address with a subject line starting “Deletion of my Data”. Such a request is processed within twenty-eight (28) days. The User may ask for immediate deletion, in which case the 28-day restore option no longer applies.

13.7. Payment, invoice, and tax records are kept for the period required by applicable law, including after an Account is deleted. Backups of the live system are overwritten on the same twenty-eight (28) day cycle.

14. Modifications to Terms

14.1. The Company may amend these Terms and the Privacy Policy from time to time. Material changes will be notified to Users by email or in the Platform, and the Company may ask the User to accept the updated version again before continuing to use the Platform. Updated versions are posted with a revised “Last Updated” date. Where re-acceptance is requested, continued use of the Platform requires that acceptance.

14.2. Notwithstanding any amendments to these Terms, the User’s ownership of User Content and AI-Generated Outputs as set forth in Sections 5.1 and 5.6 shall not be diminished or adversely modified without the User’s express written consent.

15. Severability and Waiver

15.1. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

15.2. The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16. Governing Law and Dispute Resolution

16.1. These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

16.2. Any dispute, controversy, or claim arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days.

16.3. If the dispute is not resolved through negotiation, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The seat of arbitration shall be Mumbai, Maharashtra, India. The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement of the parties. The language of arbitration shall be English.

16.4. Subject to the arbitration clause above, the courts at Mumbai, Maharashtra, India shall have exclusive jurisdiction over any proceedings arising out of or in connection with these Terms.
